Terms of Service

Important: By creating an account or using the IKON Marketing Suite platform, you agree to be legally bound by these Terms of Service. Please read them carefully before using the service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IKON Global Group, Inc. and its subsidiary IKON Marketing Suite LLC ("IKON," "we," "us," or "our"). These Terms govern your access to and use of the IKON Marketing Suite platform, website, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, clicking "I Agree," or completing the registration process, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

IKON Marketing Suite is a cloud-based, AI-powered marketing automation platform designed for businesses. The Service includes, but is not limited to:

Features available to you depend on your subscription plan. We reserve the right to modify, add, or remove features with reasonable notice.

3. Account Registration and Security

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. The Service is intended for business use. Consumer use is not the intended purpose.

3.2 Account Creation

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to keep your account information updated. Providing false, inaccurate, or misleading information is grounds for immediate account termination.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to: (a) use a strong, unique password; (b) enable two-factor authentication if offered; (c) notify us immediately at contact@ikonmarketing.net upon discovering any unauthorized access. IKON is not liable for losses arising from unauthorized use of your account where you failed to maintain reasonable security practices.

3.4 One Account Per Entity

Each business entity may register one account unless otherwise authorized by IKON. Creating multiple accounts to circumvent plan limitations, suspensions, or restrictions is prohibited.

4. Subscriptions and Billing

4.1 Subscription Plans

The Service is offered on a subscription basis. Plan details, pricing, and included features are described at ikonmarketing.net/pricing.html. All prices are in US Dollars (USD) unless otherwise specified.

4.2 Billing Cycles

Subscriptions are billed monthly or annually, as selected at the time of purchase. Annual subscriptions are billed in full at the start of each annual period. Monthly subscriptions are billed at the start of each monthly period. Billing occurs on the anniversary of your subscription start date.

4.3 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorize IKON and Stripe to charge your designated payment method for all applicable fees. You represent that you are authorized to use the payment method provided. Payment information is governed by Stripe's Privacy Policy and is not stored on IKON servers.

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; you retain access to the Service through the end of the paid period.

4.5 Price Changes

IKON reserves the right to modify pricing at any time with at least 30 days' advance notice via email and/or in-platform notification. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

4.6 Refund Policy

All fees are non-refundable except: (a) as required by applicable law; (b) in cases of verified billing errors on our part; or (c) if IKON terminates your account without cause within 14 days of the start of your first paid subscription period (pro-rated). We do not provide refunds for partial months of service, unused features, or if you decide to cancel mid-period.

4.7 Late Payments and Suspension

If payment is not received by the due date, IKON reserves the right to suspend or terminate your access to the Service. Suspended accounts may lose access to automated services during the suspension period. We will make reasonable efforts to notify you before suspending service.

4.8 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all taxes associated with your subscription, except for taxes based on IKON's income.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service solely for lawful business marketing purposes in accordance with these Terms and all applicable laws and regulations, including the rules and policies of any connected third-party platforms.

You agree not to use the Service to:

While IKON's AI generates content on your behalf, you are solely responsible for reviewing AI-generated content before it is published and for ensuring all published content complies with applicable laws, platform policies, and these Terms. IKON provides content generation as a tool — final editorial responsibility rests with you.

6. Connected Platform Accounts

To use certain features, you must connect third-party platform accounts (e.g., Facebook, Google, LinkedIn) via OAuth. By connecting accounts, you grant IKON permission to access, read, and act on those accounts as necessary to deliver the Service. You represent that you have the legal authority to connect and authorize actions on those accounts. IKON will not access connected accounts beyond what is necessary to provide the Service.

You are responsible for ensuring your use of connected platforms through IKON complies with those platforms' terms of service. IKON may suspend features related to a connected platform if that platform restricts, suspends, or modifies its API access.

7. Intellectual Property

7.1 IKON's IP

The IKON platform — including its software, architecture, AI models, user interface, workflows, features, branding, documentation, and all related technology — is the proprietary intellectual property of IKON Global Group, Inc. and is protected by US and international patent, copyright, trademark, and trade secret laws. All rights not expressly granted to you are reserved by IKON.

7.2 Your Content

You retain ownership of all business information, brand assets, and original content you upload to the Service ("Your Content"). By using the Service, you grant IKON a non-exclusive, worldwide, royalty-free license to use, process, store, display, and modify Your Content solely as necessary to provide the Service to you.

7.3 AI-Generated Content

Content generated by IKON's AI on your behalf using your business profile and brand data is provided for your use. You own the output and are responsible for it. IKON makes no warranties regarding the originality, accuracy, or suitability of AI-generated content for any specific purpose.

7.4 Feedback

Any feedback, suggestions, or ideas you submit to IKON may be used by IKON without restriction or compensation to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IKON EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES; AND WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR RESULTS GENERATED BY THE SERVICE.

IKON does not warrant that AI-generated content will achieve any particular marketing outcome, ranking position, engagement rate, or business result. Past performance of campaigns managed through IKON does not guarantee future results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IKON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF IKON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL IKON'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO IKON IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE EXCLUSIONS AND LIMITATIONS ABOVE APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless IKON, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable law or regulation.

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. To delete your account and request data deletion, contact contact@ikonmarketing.net.

11.2 Termination by IKON

IKON may suspend or terminate your account immediately, without prior notice or liability, if: (a) you breach these Terms; (b) we are required to do so by law or court order; (c) you engage in fraudulent, abusive, or illegal activity; or (d) your account has been inactive for more than 24 consecutive months on a free tier.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.

12.2 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Comprehensive Arbitration Rules and Procedures, as amended from time to time. The arbitration shall be conducted in Wyoming, USA, or by video conference where practicable. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND IKON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

13. Modifications to Terms

IKON reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and/or prominent in-platform notification. If you do not agree to the modified Terms, you may cancel your subscription before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and IKON with respect to the Service and supersede all prior and contemporaneous agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.3 Waiver

IKON's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without IKON's prior written consent. IKON may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
